There are several types of foreign investment in Indonesia, from setting up a representative office to setting up a joint venture company (PT PMA) if you already have a specific and solid business plan. Although Indonesia has implemented initiatives to ease the investment process from foreign investors, there are some details of the procedure that need to be meticulously understood. Since the company set up by foreign investor must be in a form of limited liability company (PT PMA), the incorporation process, in this case deed of establishment, must obtain approval from the Minister of Law and Human Rights (MLOHR). Prior to approval, Perizindo will ensure the deed of establishment covers all the requirements for the company to start their business in Indonesia and can move on to the next phase.

After obtaining the NIB dan NPWP, the newly incorporated PT PMA can open the bank account. To simplify the process, Perizindo can assist the client to coordinate with the bank. This is only applicable with selected banks who already have an agreement with us.

After the incorporation of PT PMA is completed, you also have to comply with tax reporting. Depending on the business model and classification, your company may have different reporting obligations. How many are the minimum shareholders for the company (PT PMA) incorporation process in Indonesia?

Two shareholders are required to incorporate a company (PT PMA). The shareholders can be a person or a legal entity. If a person, it must be supported by a valid passport, while if it is a legal entity then the incorporated document must be proven. If the shareholders agree to incorporate a company, they need to draft a deed of incorporation in which the document must be made in the form of notarial deed and subsequently, it needs approval from the Ministry of Law and Human Rights.

According to the Indonesia Investment Law, the PT PMA must have a paid up capital of more than IDR 10 billion, unless otherwise stipulated by laws and regulations. For example, the minimum capital requirement for construction works activity is IDR 25 billion.
Since Indonesia is applying the risk based approach for business license application, then if the business is considered as the low risk then they can start their business when the company has obtained the NIB. However, if it is high risk, the estimated time to obtain a business license might take 3 up to 6 months. This is due to the electronic system within ministries and local government has not fully integrated or the system has not integrated properly. Moreover, based on our experience, there are additional required documents requested by the ministries during the business license application process.
Indonesia has introduced the positive investment list. In principle, all business sectors are open for investment including for foreign investment unless there is a specific limitation. Nevertheless, there are some business activities that are closed for a foreign company namely wholesale trade of alcoholic beverages (importers, distributors, and sub-distributors); retail trade of alcoholic beverages; and the street retail of alcoholic beverages.
